Important: These terms contain an arbitration provision and class-action waiver. Review Section 12 carefully.
1. Acceptance of Terms
By accessing the Solarae Systems website, using services we make available, or purchasing products or services from us, you agree to be bound by these terms, all applicable laws and regulations, and any additional terms presented with a particular service.
If you do not agree with these terms, you are prohibited from using or accessing the applicable site or services.
2. Use License & Restrictions
Permission is granted to temporarily access materials made available by Solarae Systems for personal, non-commercial transitory use only. This is a grant of a license, not a transfer of title. Unless expressly permitted, you may not:
- Modify or copy protected materials for unauthorized use;
- Use materials for an unauthorized commercial or public display;
- Attempt to decompile, reverse engineer, or scrape software or protected systems;
- Remove copyright or other proprietary notices; or
- Mirror protected materials on another server.
3. AI & Automated Systems
Some Solarae Systems services may use artificial intelligence, machine learning, or other automated systems. Outputs may be inaccurate or incomplete and should not be relied upon as medical, legal, financial, or safety-critical advice.
4. User Accounts & Security
Where an account is provided, you are responsible for safeguarding your credentials and for activity under your account. Solarae Systems cannot be liable for loss or damage arising from failure to maintain appropriate account security.
5. Payment Terms
Where purchases are offered, payment processing may be provided by third-party payment providers. Their terms, refund procedures, and processing requirements may also apply.
Taxes: You are responsible for applicable taxes, levies, or duties except where a payment provider is legally responsible for collection or remittance.

6. Intellectual Property
The services and their original content, features, functionality, and design elements are and will remain the property of Solarae Systems LLC and its licensors. Trademarks and trade dress may not be used without prior written consent.
7. Indemnification
You agree to defend, indemnify, and hold harmless Solarae Systems LLC and its employees, contractors, agents, officers, directors, licensees, and licensors from claims, damages, obligations, losses, liabilities, costs, or expenses resulting from your use of the services or breach of these Terms.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLARAE SYSTEMS LLC AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES, OR FROM CONTENT OBTAINED THROUGH THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID TO SOLARAE SYSTEMS FOR THE APPLICABLE PRODUCT OR SERVICE DURING THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Disclaimer
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, EXCEPT WHERE SUCH WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Wyoming, United States, without regard to conflict-of-law provisions.
11. Force Majeure
We shall not be liable for failure to perform obligations where the failure results from causes beyond our reasonable control.
12. Dispute Resolution & Arbitration
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its applicable rules, except where prohibited by law.
Class Action Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ARBITRATION SHALL BE CONDUCTED IN YOUR INDIVIDUAL CAPACITY AND NOT AS A CLASS OR REPRESENTATIVE ACTION.
13. Changes
We reserve the right to modify or replace these Terms. Continued access or use after revisions become effective constitutes acceptance of the revised Terms to the extent permitted by law.
